Public Offer
for Corporate Device Management (MDM) Services
TSDQWISH, MChJ (limited liability company, TIN 312841213), hereinafter the "Provider", addresses this public offer (the "Offer") to duly registered legal entities (the "Customer") and proposes to enter into an agreement for mobile device management services on the terms set out below.
1. Definitions
- Platform — the QWISH MDM software and hardware complex (mdm.qwish.uz) implementing device management functions over the Apple MDM protocol.
- Device — an Apple device (iPhone, iPad) owned by the Customer or held by it on another lawful basis, and enrolled into the Platform.
- User — an employee of the Customer or another person to whom the Customer has handed a Device for possession and use.
- Management Functions — remote lock of a Device, remote unlock, passcode reset, determination of a Device's location while it is locked, and related service operations.
2. Subject Matter
2.1. The Provider grants the Customer access to the Platform (dashboard and API) to enroll Devices and apply the Management Functions, and the Customer pays for the services on the terms agreed by the parties.
2.2. Acceptance of this Offer is effected by the parties signing an agreement (accession application) and/or by the Customer's actual commencement of use of the Platform.
3. Customer Representations and Obligations
3.1. The Customer represents and warrants that every Device enrolled into the Platform is owned by the Customer or held by it on another lawful, documented basis.
3.2. The Customer undertakes, before handing a Device to a User, to notify the User in writing or in another verifiable form that the Device is corporate property and is managed by the organization, including the possibility of remote lock, passcode reset and determination of the Device's location while locked, and to obtain any consents required by applicable law.
3.3. The Customer must not use the Platform for covert surveillance of individuals, for managing devices not belonging to the Customer (including employees' personal devices), or for any unlawful purpose. The Customer bears full responsibility for any breach of this clause.
3.4. The Customer independently complies with the applicable Apple terms, including the Apple Business Manager terms, when using the respective Apple services.
3.5. Upon discovering a breach of clauses 3.1–3.4, the Provider may suspend the services until the breach is remedied, notifying the Customer.
4. Provider Obligations
- to provide access to the Platform and maintain its operability;
- to ensure isolation of the Customer's data from other customers' data, encryption of communication channels, operation logging (audit) and regular backups;
- to provide technical support on business days from 10:00 to 18:00 (Tashkent) by phone +998 90 346 78 99 and email info@qwish.uz;
- to give the Customer advance notice of scheduled maintenance.
5. Personal Data
5.1. The parties process personal data in accordance with the Law of the Republic of Uzbekistan "On Personal Data". The Customer determines the purposes of processing Users' data; the Provider processes such data on the Customer's instructions to the extent necessary to provide the services.
5.2. A Device's location is determined solely while the Device is locked. All operations on Devices are recorded in the Customer's audit log.
5.3. Upon termination of the agreement, the Customer's data is deleted or returned to the Customer at its option, except for records that must be retained by law.
6. Relationship with Apple Inc.
6.1. The Platform uses the device management (MDM) protocol published by Apple, the Apple Business Manager service, the Apple Push Notification service and Apple Configurator, in accordance with Apple's framework for corporate device management.
6.2. The Provider is an independent company. The Provider is not affiliated with Apple Inc. and is not its partner or representative; Apple Inc. does not sponsor or endorse the Provider's services. Apple, iPhone, iPad, Apple Business Manager and Apple Configurator are trademarks of Apple Inc., registered in the U.S. and other countries, and are used solely to denote compatibility.
7. Fees and Settlement
7.1. The service fee is contractual, determined by the number of the Customer's Devices, and is fixed in the agreement (invoice). All Platform features are included in the fee; no separate charge applies to the Management Functions.
8. Liability
8.1. The Provider's aggregate liability under the agreement is limited to the amount actually paid by the Customer for the three calendar months preceding the event giving rise to liability.
8.2. The Provider is not liable for unavailability of or changes to Apple services, communication networks or other third-party services, nor for the consequences of the Customer's actions taken in breach of Section 3 of this Offer.
8.3. The parties are released from liability in circumstances of force majeure.
9. Term and Amendments
9.1. The Offer is effective from its publication at mdm.qwish.uz. The Provider may amend the Offer by publishing a new revision at the same address; for existing agreements, amendments take effect 10 calendar days after publication.
10. Governing Law and Disputes
10.1. The relations of the parties are governed by the law of the Republic of Uzbekistan. Disputes are resolved through negotiations and, failing agreement, in court at the Provider's location.
